By accessing or using Clipperia ("Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Acceptable Use Policy, our Copyright Policy, and our Refund Policy, all of which are incorporated herein by reference. If you do not agree to these Terms, you may not use the Service.
You must be at least 13 years old to use this Service. If you are located in the European Economic Area (EEA), you must be at least 16 years old, or the age of digital consent in your member state if lower than 16. If you are between the applicable minimum age and 18 years of age, you represent that a parent or legal guardian has consented to these Terms on your behalf. By using Clipperia, you represent that you have the legal capacity to enter into this agreement.
These Terms constitute a binding legal agreement between you and Clipperia. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" and "your" refer to both you and that organization.

The Service operates on a credit-based system where users purchase Credits to process videos. Clipperia is a processing tool — it does not host, publish, or distribute your content to any third-party platform.
We reserve the right to modify, add, or remove features of the Service at any time. Changes to features do not entitle you to a refund unless otherwise stated in our Refund Policy.
To use certain features of the Service, you must create an account. You agree to:
You are solely responsible for all activity that occurs under your account, whether authorized by you or not. You agree not to share your account credentials with any third party or allow any third party to access your account. Credential sharing is a violation of these Terms and may result in immediate account termination without refund.
We reserve the right to suspend or terminate accounts that violate these Terms, with or without prior notice.
You retain all rights, title, and interest in and to your User Content. Clipperia does not claim any ownership interest in your User Content.
By uploading User Content, you grant Clipperia a limited, non-exclusive, worldwide, revocable license to store, transcode, analyze, process, and temporarily copy your User Content solely for the purpose of operating and providing the Service to you. This license does not include the right to sublicense, publicly display, distribute, or commercially exploit your User Content. This license terminates when you delete your User Content or your account, subject to the retention periods described in Section 13.
Generated Content. Subject to your compliance with these Terms and your ownership of the underlying User Content, you own the Generated Content produced by the Service from your User Content. Clipperia claims no ownership interest in Generated Content.
AI Output. AI Output is provided for informational and convenience purposes only. Clipperia does not guarantee the accuracy, completeness, or suitability of any AI Output. You are solely responsible for reviewing AI Output before relying on it or publishing any content derived from it. See Section 7 for the full AI disclaimer.
By uploading content to Clipperia, you represent and warrant that:
At the time of each upload, you will be required to affirm that you hold the necessary rights to the content. This affirmation is recorded for audit purposes.
Clipperia uses artificial intelligence to analyze videos, detect viral moments, generate clips, produce transcripts, and censor profanity. You acknowledge and agree that:
Clipperia is a video processing tool. We do not monitor, endorse, curate, or assume responsibility for User Content uploaded to the Service. We do not review content for accuracy, legality, or appropriateness. You are solely responsible for your uploads and for the use of any outputs generated through the Service.
Clipperia does not publish or distribute your content to any third-party platform. Any publication or distribution of clips generated through the Service is solely your responsibility. You are solely responsible for ensuring that your use of Generated Content complies with the terms of service of any platform on which you publish or distribute it.
You may not upload, process, or generate content through the Service that:
Clipperia reserves the right to remove any content and terminate accounts at its sole discretion, without refund, for violations of this policy. See our Acceptable Use Policy for the full list of prohibited content and behaviors, including platform abuse, scraping, reverse engineering, credential sharing, API abuse, and denial-of-service attacks.
Credits are the units of measurement used to access processing features of the Service. The following rules apply to all Credits, whether obtained through a Subscription or a Credit Pack:
Credit prices and packages are displayed at the time of purchase. We reserve the right to modify credit pricing and the credit cost of processing operations with reasonable notice. Changes to credit pricing do not affect Credits already in your account.
Payments are processed by Dodo Payments as merchant of record. By making a purchase, you agree to Dodo Payments' terms of service. All prices are displayed in the currency shown at the time of purchase and are exclusive of applicable taxes unless otherwise stated. You are responsible for any taxes, duties, or fees imposed by your jurisdiction.
Subscriptions are billed on a recurring basis (monthly or annually, as selected at the time of purchase). Your Subscription automatically renews at the end of each billing period at the then-current rate for your plan unless you cancel before the renewal date.
You may upgrade your Subscription at any time. Upon upgrade, you will be charged a prorated amount for the remainder of your current billing cycle and your new Credit allotment will take effect immediately. Downgrades take effect at the start of your next billing cycle. Downgrades do not result in a refund for the current billing period, and any excess Credits from your prior plan that exceed your new plan's allotment will be forfeited at the end of the current billing cycle.
If a payment fails, we will attempt to reprocess the payment using reasonable efforts. If payment is not received within a reasonable grace period, your Subscription may be suspended or downgraded to the Free tier. During suspension, you will not be able to process new content, and your data will be subject to the Free tier retention schedule described in Section 13.
All Subscription fees are exclusive of taxes, levies, duties, and similar governmental assessments of any nature. You are responsible for paying all such taxes, excluding those based solely on Clipperia's net income. If we are required to collect or pay taxes on your behalf, those amounts will be added to your invoice.
You may cancel your Subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date. Cancellation does not entitle you to a refund for the current billing period except as described in our Refund Policy.
Storage Add-ons are optional subscriptions that extend the data retention period for your User Content and Generated Content beyond the retention period of your base Subscription tier. Storage Add-ons are billed and renewed on the same recurring basis as your Subscription and are subject to the same billing, renewal, failed payment, tax, and cancellation terms described in this Section. Cancellation of a Storage Add-on does not affect your base Subscription. Refunds for Storage Add-ons are governed by our Refund Policy.
If you cancel your paid subscription, any unused credits associated with your account — including both Subscription Credits and Credit Pack Credits — are not eligible for a monetary refund. However, to provide a reasonable period to consume your remaining credits, the following grace period applies:
For the avoidance of doubt: The 2-month Grace Period forfeiture supersedes the 12-month Credit Pack expiry described in Section 10. If you cancel your Subscription, all unused credits of every type are forfeited at the end of the Grace Period, even if their original expiry date has not yet passed.
This policy does not affect your statutory rights where applicable law mandates a refund for unused prepaid balances.
Clipperia respects the intellectual property rights of others and expects its users to do the same. If you believe that content processed through our Service infringes your copyright, please review our Copyright Policy and submit a takedown notice through the process described therein.
We will respond to valid takedown notices in accordance with the Digital Millennium Copyright Act (DMCA) and applicable law, and may, in appropriate circumstances, terminate the accounts of repeat infringers.
The Service is provided "as is" and "as available." We use commercially reasonable efforts to maintain high availability but cannot guarantee uninterrupted, error-free, or secure access. The Service may experience:
We will make commercially reasonable efforts to notify users of planned maintenance when possible.
Data retention: Uploaded files and generated clips are automatically deleted according to your subscription tier:
You may delete your content or account at any time through the Service. Upon account deletion, all associated data will be removed within 30 days. You are responsible for downloading any Generated Content before it is deleted in accordance with these retention periods.
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.
In the event of permanent service discontinuation:
We shall not be liable for any losses resulting from service modification or discontinuation beyond the refunds described above.
The Service may integrate with or rely upon third-party platforms, services, and infrastructure. Your use of content from these platforms is subject to their respective terms of service. You are responsible for ensuring your use of the Service complies with applicable third-party terms. Clipperia is not responsible for the availability, accuracy, or practices of any third-party services.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Clipperia does not warrant that:
No oral or written information or advice given by Clipperia or its representatives shall create a warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLIPPERIA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
Liability cap. In no event shall Clipperia's total aggregate liability exceed the amount you actually paid to Clipperia during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any fees to Clipperia during that period, our total liability shall not exceed fifty U.S. dollars ($50.00).
The limitations in this section apply regardless of the legal theory upon which the claim is based, including contract, tort (including negligence), strict liability, or any other theory, and even if Clipperia has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless Clipperia and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, demands, actions, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to:
We reserve the right, at our sole expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with us in defending such claims. You agree not to settle any matter subject to indemnification without our prior written consent.
Clipperia shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, war, terrorism, riots, civil unrest, governmental actions, sanctions, embargoes, labor disputes, strikes, power outages, internet or telecommunications failures, failures of third-party service providers, cyberattacks, or any other event that is not reasonably within our control ("Force Majeure Event").
During a Force Majeure Event, our obligations will be suspended for the duration of the event. We will use commercially reasonable efforts to resume performance as soon as practicable. If a Force Majeure Event continues for more than thirty (30) consecutive days, either party may terminate these Terms upon written notice.
You agree to comply with all applicable export control laws, regulations, and sanctions programs, including those administered by the U.S. Office of Foreign Assets Control (OFAC), the U.S. Department of Commerce, the European Union, and any other applicable jurisdiction. You represent and warrant that:
Clipperia reserves the right to restrict or terminate access to the Service for any user that we reasonably believe is in violation of this section.
These Terms shall be governed by and construed in accordance with the laws of the State of Oaxaca, United Mexican States (Mexico), without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
Informal resolution. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be submitted to informal resolution. You agree to contact us at legal@clipperia.app and allow at least thirty (30) days for informal resolution before initiating any formal proceeding.
Venue. If informal resolution is not successful, any legal action or proceeding shall be brought exclusively in the competent courts of the City of Oaxaca de Juárez, State of Oaxaca, Mexico. You consent to the personal jurisdiction of such courts and waive any objection based on inconvenient forum.
Class action waiver. To the maximum extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
If any provision of these Terms is held to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms or invalidate or render unenforceable such provision in any other jurisdiction. Upon a determination that any provision is invalid, illegal, or unenforceable, the parties shall negotiate in good faith to modify these Terms to effect the original intent of the parties as closely as possible.
We may update these Terms from time to time. We will notify you of material changes by:
Material changes will take effect no sooner than fourteen (14) days after notice is provided, except that changes addressing new features or legal requirements may take effect immediately. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may close your account.
These Terms, together with the Privacy Policy, Acceptable Use Policy, Copyright Policy, and Refund Policy, constitute the entire agreement between you and Clipperia regarding your use of the Service and supersede all prior agreements, understandings, and representations, whether written or oral.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Clipperia to be effective.
